Welcome to Resgrave. Throughout these Terms of Service, the terms "Resgrave," "we," "us," and "our" refer to Resgrave, a sole proprietorship operating the website https://resgrave.com.

Resgrave specializes in carefully selected vintage, antique, and designer pre-owned furniture. Our website, products, and related services (collectively, the "Services") are provided through Shopify.

These Terms of Service govern your access to and use of our Services, including browsing our website and purchasing products.

By accessing or using our Services, you agree to be bound by these Terms, together with our Privacy Policy, Refund Policy, and Shipping Policy.

If you do not agree with these Terms, please do not use our Services.

SECTION 1 — ACCESS AND ACCOUNT

By using our Services, you represent that you are at least the age of majority in your state or country of residence.

If you create an account with Resgrave, you agree to provide accurate, current, and complete information and to keep your account information updated.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or are used for fraudulent or unlawful purposes.

SECTION 2 — OUR PRODUCTS

Resgrave specializes in vintage, antique, and designer furniture. Many of our products are one-of-a-kind and previously owned.

Because of their age and history, our items may display natural signs of wear, patina, repairs, minor imperfections, variations in color, or age-related characteristics. These features are considered part of the item's authenticity and are not defects unless specifically described otherwise.

We make every effort to accurately photograph, measure, and describe every item. However:

  • Colors may vary depending on your monitor or mobile device.
  • Measurements are approximate.
  • Wood grain, finish, and vintage wear naturally vary.
  • Product descriptions are based on our professional knowledge and available information at the time of listing.

Because inventory consists primarily of unique pieces, an item may occasionally become unavailable due to simultaneous sales, inventory discrepancies, or circumstances beyond our control. If this occurs after an order has been placed, we will promptly notify you and issue a full refund.

We reserve the right to update product descriptions, pricing, availability, or discontinue products at any time without prior notice.

SECTION 3 — ORDERS

Submitting an order constitutes an offer to purchase.

Orders are not considered accepted until payment has been successfully processed and Resgrave confirms acceptance.

We reserve the right to refuse, limit, or cancel any order for reasons including but not limited to:

  • suspected fraud;
  • pricing or inventory errors;
  • payment verification issues;
  • product unavailability;
  • violations of these Terms.

If we cancel an order after payment has been received, you will receive a full refund.

Because many of our products are unique vintage pieces, orders cannot be cancelled after they have been accepted, except where required by applicable law.

Customers located in countries that provide mandatory cancellation rights, including certain European Union member states, retain those legal rights where applicable.

By placing an order, you represent that products are being purchased for personal or household use and not for resale.

SECTION 4 — PRICES AND PAYMENT

All prices are listed in U.S. Dollars (USD) unless otherwise stated.

Prices do not include applicable taxes, customs duties, import fees, shipping charges, or other governmental charges unless specifically indicated during checkout.

Prices may change without notice.

You agree to provide accurate billing, payment, and shipping information.

By submitting payment information, you represent that:

  • you are authorized to use the selected payment method;
  • payment information is accurate;
  • you authorize us to charge your payment method for your purchase, including shipping, taxes, and applicable fees.

If a pricing error or technical error results in an incorrect purchase price, Resgrave reserves the right to cancel the order and issue a full refund.

SECTION 5 — SHIPPING AND DELIVERY

Most furniture is delivered using professional White Glove Delivery or freight services.

Delivery dates are estimates only and are not guaranteed.

Resgrave is not responsible for delays caused by:

  • weather;
  • carrier scheduling;
  • customs clearance;
  • labor disputes;
  • transportation interruptions;
  • acts of God;
  • or events beyond our reasonable control.

Customers must inspect all deliveries immediately upon receipt.

Any shipping damage, missing parts, or delivery issues must be reported to support@resgrave.com within 24 hours of delivery and include photographs of:

  • the item,
  • all packaging materials,
  • and any visible damage.

Failure to report shipping damage within 24 hours may affect our ability to process shipping claims.

Risk of loss transfers to the customer upon successful delivery.

SECTION 6 — RETURNS AND CANCELLATIONS

Returns are governed by our Refund Policy.

United States

  • Returns accepted within 30 days of delivery.
  • A flat $300 return fee applies.
  • Resgrave will arrange White Glove pickup.
  • Return shipping costs beyond the flat fee are covered by Resgrave.
  • Items must be professionally packed by the customer.
  • All returned items are inspected before refunds are issued.

International Orders

  • Returns accepted within 14 days of delivery.
  • Customers are responsible for arranging and paying all return shipping costs, duties, customs fees, and insurance.
  • Items must be professionally packed to prevent damage during transit.

Refunds are issued only after returned items have been received and inspected.

Orders cannot be cancelled after acceptance except where required by applicable law.

European Union customers retain any mandatory cancellation or withdrawal rights provided by applicable consumer protection laws.

SECTION 7 — INTELLECTUAL PROPERTY

All content available through the Services, including but not limited to our trademarks, logos, trade names, photographs, product descriptions, text, graphics, website design, videos, images, icons, software, and other materials, is the property of Resgrave, Shopify, or our licensors and is protected by applicable copyright, trademark, and intellectual property laws.

You may use our website only for lawful personal shopping purposes.

You may not:

  • Copy or reproduce our photographs or product descriptions.
  • Republish or distribute any content from our website.
  • Use our trademarks or branding without written permission.
  • Create derivative works based on our content.
  • Use our content for commercial purposes.

Resgrave does not control, endorse, or guarantee the content, accuracy, products, services, or policies of third-party websites.

We are not responsible for any loss or damage arising from your use of third-party websites.

SECTION 10 — SHOPIFY PLATFORM

Resgrave operates its online store using Shopify.

Although Shopify provides the technology that powers our website, all purchases made through our store are transactions solely between you and Resgrave.

Shopify is not responsible for:

  • product descriptions;
  • pricing;
  • shipping;
  • returns;
  • refunds;
  • warranties;
  • customer service;
  • or disputes relating to purchases made from Resgrave.

To the fullest extent permitted by law, you release Shopify and its affiliates from any claims arising from purchases made through our store.

  • you own or have permission to submit the content;
  • your Feedback does not infringe the rights of others;

We reserve the right—but have no obligation—to remove any Feedback that we believe is:

  • misleading;
  • defamatory;
  • offensive;
  • unlawful;
  • fraudulent;
  • abusive;
  • or otherwise inappropriate.

We are under no obligation to compensate users for submitted Feedback.

If an order is cancelled because of an error, you will receive a full refund of any amount paid.

Because Resgrave specializes in vintage, antique, and previously owned furniture, customers acknowledge that products are sold with reasonable age-related wear unless otherwise noted.

Normal signs of age may include:

  • surface scratches;
  • fading;
  • patina;
  • small repairs;
  • finish variations;
  • minor imperfections;
  • manufacturing characteristics from the original period.

These characteristics are considered part of the item's originality and are not considered defects.

Customers are encouraged to carefully review all photographs, measurements, and written descriptions before placing an order.

SECTION 14 — PROHIBITED USES

You agree to use the Services only for lawful purposes.

You may not use our website or Services:

To the fullest extent permitted by law, all products and Services provided by Resgrave are offered on an "AS IS" and "AS AVAILABLE" basis.

We do not guarantee that:

  • the website will always operate without interruption;
  • the Services will always be error-free;
  • product descriptions are free from typographical errors;
  • the website will always be secure or free of harmful components.

Because we specialize in vintage, antique, and pre-owned furniture, every item is unique.

Natural wear, patina, repairs, wood movement, finish variations, aging, and other characteristics associated with previously owned furniture are considered part of each item's originality and are not defects unless specifically stated otherwise in the product description.

Except where prohibited by law, Resgrave disclaims all express and implied warranties, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Some jurisdictions do not permit certain warranty disclaimers. In those jurisdictions, these limitations apply only to the extent permitted by law.

SECTION 18 — LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Resgrave, its owner, employees, contractors, affiliates, suppliers, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to:

  • Delayed deliveries;
  • Shipping carrier delays;
  • Customs delays;
  • Loss of profits;
  • Loss of business opportunities;
  • Loss of data;
  • Product availability;
  • Website interruptions;
  • Errors or omissions in website content;
  • Third-party services;
  • Acts of God or events beyond our reasonable control.

Our total liability for any claim relating to a purchase shall not exceed the amount actually paid by you for the product giving rise to the claim.

Nothing in these Terms limits liability where such limitation is prohibited by applicable law.

You agree to defend, indemnify, and hold harmless Resgrave, its owner, employees, contractors, service providers, affiliates, and business partners from and against any claims, liabilities, damages, losses, costs, or expenses, including reasonable attorneys' fees, arising out of:

Resgrave reserves the right to assume exclusive control of the defense of any matter subject to indemnification, and you agree to cooperate fully in such defense.

Resgrave shall not be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond our reasonable control.

These events include, but are not limited to:

  • Floods
  • Earthquakes
  • Fires
  • Severe weather
  • Government actions
  • Labor disputes
  • Transportation interruptions
  • Customs delays
  • Supplier shortages
  • Pandemics
  • Internet outages
  • Cybersecurity incidents
  • Power failures

During any such event, our obligations shall be suspended for the duration of the disruption.

SECTION 21 — SEVERABILITY

If any provision of these Terms of Service is found to be unlawful, invalid, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.

Any unenforceable provision shall not affect the validity or enforceability of the remaining portions of these Terms.

Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Any waiver of a provision of these Terms will be effective only if made in writing by Resgrave.

SECTION 23 — ENTIRE AGREEMENT

These Terms of Service, together with our Privacy Policy, Refund Policy, Shipping Policy, and any other policies published on our website, constitute the entire agreement between you and Resgrave regarding your use of the Services.

They supersede all prior communications, negotiations, understandings, and agreements, whether oral or written, relating to the Services.

SECTION 24 — ARBITRATION

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

To the fullest extent permitted by law, any dispute, claim, or controversy arising out of or relating to these Terms, your use of the Services, or any purchase from Resgrave shall be resolved through binding arbitration rather than in court.

Arbitration shall be conducted in the State of California under the rules of the American Arbitration Association (AAA), unless another arbitration provider is mutually agreed upon.

Each party shall bear its own legal costs and attorneys' fees unless otherwise required by applicable law or awarded by the arbitrator.

You and Resgrave agree to resolve disputes on an individual basis only.

Neither party may participate in:

  • Class actions
  • Class arbitrations
  • Representative proceedings
  • Consolidated claims

Nothing in this section prevents either party from seeking temporary injunctive relief or pursuing claims that qualify for small claims court under applicable law.

If applicable law prohibits mandatory arbitration for a particular dispute, this section shall apply only to the extent permitted by law.

SECTION 25 — GOVERNING LAW

These Terms of Service shall be governed by and interpreted in accordance with the laws of the State of California, without regard to its conflict of law principles.

Subject to the Arbitration section above, any legal proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in California.

You consent to the jurisdiction of those courts.

SECTION 26 — CHANGES TO THESE TERMS

We may revise these Terms of Service from time to time to reflect changes in our business, legal requirements, or Services.

The updated version will be posted on this page together with the revised "Last Updated" date.

Your continued use of our Services after any changes become effective constitutes your acceptance of the revised Terms.
